Service Provider will plan, build, and manage a paid media and demand generation program for MontyCloud across search, display, and social channels. Three service tiers are offered — each successive tier includes all services from the preceding tier.

Search & Display

Google Ads campaigns including search, display, and retargeting across key audiences.

LinkedIn ABM

Account-based campaigns targeting 6,000 named accounts by partner type, region, and title.

Event-Driven Campaigns

Pre- and post-event campaigns aligned to AWS summits, re:Invent, and partner events.

Pipeline Attribution

Full-funnel dashboards from awareness through SQL to booked meetings with sales reps.

Ad spend is a direct Customer cost paid to platforms and is not included in the management fee. Data enrichment platform costs (e.g., Clay, ZoomInfo subscriptions and per-record fees) are a direct Customer expense billed separately with Customer approval.

Terms & Responsibilities

How the engagement works

Term

6-month initial term, auto-renews for successive 6-month periods unless either party submits written non-renewal at least 30 days prior to the renewal date.

Payment

Auto-charged to card on file on the 15th of each month.

Rate Escalator

Management fees increase by 3% upon each 12-month anniversary of the Execution Date. The adjusted rate applies to the next renewal period.

Early Termination

If Customer terminates prior to end of term (except for Service Provider's material breach), Customer pays an early termination fee equal to 50% of remaining monthly management fees, due within 30 days of notice.

Minimum Ad Spend

Package B requires $5,000/mo and Package C requires $20,000/mo minimum ad spend. If spend falls below minimum for 2+ consecutive months, performance benchmarks may be adjusted.

Customer responsibilities

  • Provide admin access to all ad platform accounts within 5 business days of execution
  • Fund all ad platform accounts directly and maintain minimum ad spend commitments
  • Fund all data enrichment tools and subscriptions directly (Packages B & C)
  • Provide or approve creative assets and ad copy within 3 business days of request
  • Provide updated product messaging, ICP definitions, and target account list (6,000 accounts) within 10 business days
  • Provide event calendar with key dates at least 6 weeks prior to each event
  • Designate a single point of contact for approvals
  • Provide content direction and copy for monthly newsletter (Package C only)
Scope & Change Management

What's out of scope

Excluded from all packages

  • Video production, animation, or motion graphics of any kind
  • Website or landing page development outside of HubSpot (e.g., WordPress, custom web dev)
  • SEO (available as a separate engagement)
  • HubSpot operations beyond what is specified in the selected package
  • Organic social media management, posting, community management, or influencer outreach
  • Content syndication or analyst report placements
  • In-person event logistics, booth design, or on-site staffing
  • Product marketing, product positioning, or brand strategy engagements
  • CRM migration or data cleanup projects

Any request for work in these categories requires a separate Statement of Work or Change Order.

Change Orders

Any work outside the selected package requires a written Change Order signed by both parties. Additional work billed at $200/hour.

Overage Hours

If utilization exceeds 115% of estimated hours, Service Provider will notify Customer and either defer tasks or execute under a Change Order at $200/hour.

Creative Revisions

Two rounds of revisions per ad set included. Additional rounds billed at $200/hour. Net-new creative requests count toward monthly hour allocation.

Response Times

Customer provides feedback within 3 business days. Delays exceeding 5 business days may shift timelines. Service Provider not responsible for missed windows due to delayed approvals.

Platform & Tool Costs

All third-party platform costs are Customer responsibility: ad spend, data enrichment subscriptions, The Ad Spend license ($199/mo), and any future recommended tools.

Quarterly Business Reviews

Quarterly reviews to assess performance, realign priorities, and adjust scope. Any scope adjustments follow the Change Order process.

Performance & deliverable dependencies

Service Provider's ability to deliver results is contingent upon timely receipt of Customer deliverables. If required materials are not provided within specified timelines, performance commitments, campaign launch dates, and benchmarks shall be adjusted proportionally. Service Provider does not guarantee specific revenue outcomes, conversion volumes, or SQL counts — all benchmarks are directional targets, not contractual guarantees.
